Pursuant to Paragraph 9.19(15) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors ("Board") of GCAP wishes to announce that the Company has received a notice in writing dated 31st December 2025  from Messrs. UHY Malaysia PLT (“UHY”) of their resignation as the auditors of the Company and Group. Pursuant to Section 281 of the Companies Act, 2016 (“CA 2016”), the term of office of UHY shall come to an end after 21 days from the date of receipt of the notice of resignation.

UHY was re-appointed as the auditors of the Company at the last Annual General Meeting ("AGM") of the Company held on 24 June 2025 to hold office until the conclusion of the next AGM of the Company.

The resignation of UHY arose from the Company and UHY being unable to reach agreement on the commercial terms for the upcoming audit, following which UHY assessed that it would not be able to continue as auditor for the financial year ending 31 December 2025.

The Company has identified Messrs Morison LC PLT (“Morison”) as the new auditors to be engaged pursuant to Section 271(2)(b) of CA 2016, after assessing their independence, capabilities, audit team and proposed audit fees. The Board is of the view that such change of auditors will enable the Company and Group to benefit from fresh perspectives and views of another professional audit firm.

Upon the Audit Committee's recommendation, the Board has approved the appointment of Morison as the auditors for financial year ending 31 December 2025 subject to the Company receiving the written consent from Morison to act as auditors pursuant to Section 264(5) of CA 2016.

Save for the above, the Board is not aware of any matters that need to be brought to the attention of the shareholders of the Company.
