The Board of Directors (the “Board”) of UMS Integration Limited (the “Company” and together with its subsidiaries, the “Group”) refers to the announcements dated 7 November 2025 and 12 November 2025 in relation to the Proposed Bonus Issue of new ordinary shares in the capital of the Company (“Bonus Shares”) to the shareholders of the Company (“Shareholders”) on the basis of one (1) Bonus Share for every four (4) existing ordinary shares in the share capital of the Company (“Shares”) held by Shareholders as at a date and time to be determined by the Directors for the purposes of determining Shareholders’ entitlements to the Bonus Shares, fractional entitlements to be disregarded (the “Previous Announcements”).

Unless otherwise defined or the context otherwise requires, all capitalised terms shall bear the same meanings as ascribed to them in the Previous Announcements.

NOTICE IS HEREBY GIVEN that the Share Transfer Books and Register of Members of the Company will be closed at 5.00 p.m. on Monday, 12 January 2026 (the “Record Date”) for the purpose of determining Shareholders’ entitlements to the Bonus Shares pursuant to the Proposed Bonus Issue.
