References are made to the announcements in relation to the Proposed Private Placement dated 18 September 2025, 22 September 2025, 13 October 2025, 31 October 2025 and 20 November 2025 ("Announcements"). Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Announcements.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities has vide its letter dated 15 December 2025, resolved to approve the listing and quotation of up to 87,877,800 Placement Shares to be issued pursuant to the Proposed Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:

(i) GIIB and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii) TA Securities is required to furnish Bursa Securities with details of the placees as per paragraph 6.15 of the Listing Requirements for Bursa Securities’ review, prior to the issuance/allotment of the Placement Shares;

(iii) TA Securities is required to furnish Bursa Securities with details of the placees in accordance with paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the Placement Shares to be issued pursuant to the Proposed Private Placement;

(iv) In the event the Proposed Private Placement is not completed before the next annual general meeting, GIIB is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act, 2016 before the listing of the Placement Shares;

(v) GIIB and TA Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement;

(vi) GIIB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
