1. INTRODUCTION

The Board of Directors of RAMSSOL (“Board”) wishes to announce that GeekStart Company Limited., an indirect subsidiary of the Company had on 13 December 2025 incorporated a new subsidiary, namely GK Innovation Company Limited (“GK”) in Thailand (“Incorporation”).

2. INFORMATION OF GK

The registered capital of GK is 1,000,000 Thai Baht divided into 10,000 ordinary shares of 100 Thai Baht each and the existing paid-up capital of GK is 250,000.00 Thai Baht. GK will be principally involved in businesses for provision of end-to-end digital and artificial intelligence solutions, supported by research and development, including application technical support and maintenance services, to facilitate digital transformation. 

3.RATIONALE OF THE INCORPORATION

The Incorporation is mainly to facilitate the expansion of the business activities of RAMSSOL and its subsidiaries.

4.EFFECT OF THE INCORPORATION

The Incorporation will not have any material effects on earnings per ordinary share of RAMSSOL ("Share"), net assets per share, share capital of RAMSSOL, substantial shareholders' shareholding of RAMSSOL and the gearing of RAMSSOL and its subsidiaries for the financial year ending 31 December 2025.
