The Board of Directors’ of Destini wishes to announce that the Company is unable to release to Bursa Securities and shareholders of its Annual Report that includes the Audited Financial Statements together with the Auditors’ and Directors’ reports (“Financial Statements”) in respect of the financial year ended 30 June 2025 by 31 October 2025 (“Relevant Timeframe”) which is a period not exceeding four (4) months from the close of the financial year ended 30 June 2025 as required under Paragraph 9.23(1) of the MMLR of Bursa Securities.

The Annual Report is in the final stages of preparation, and the Company is in the process of completing the remaining administrative and compilation procedures.

Pursuant to Paragraph 9.28(5) of the MMLR of Bursa Securities, if Destini fails to issue the Annual Report 2025, together with its Financial Statements within 5 market days, i.e. 7 November 2025 (the last day of this 5 market day period is referred to as “Suspension Deadline”), in addition to any enforcement action that the Bursa Securities may take, the Bursa Securities shall suspend trading in the securities of the Company.

The suspension shall take effect on the next market day after the Suspension Deadline (i.e. 10 November 2025) and will be uplifted on the market day following the issuance of the Annual Report 2025, together with its Financial Statements unless otherwise determined by the Bursa Securities.

Pursuant to Paragraph 9.28(6) of the MMLR, if the Company fails to issue the outstanding Financial Statements within six (6) months from the expiry of the Relevant Timeframes, in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall commence de-listing procedures against the Company.

Notwithstanding the above, the Company expects to issue and submit its Annual Report 2025, together with its Financial Statements on or before 7 November 2025.
