Query Letter Contents

We refer to the Company’s announcement dated 19 September 2025 in respect of the aforesaid matter.

 

In this connection, kindly furnish Bursa Malaysia Securities Berhad (“Bursa Securities”) with the following additional information for public release:

 

1) In relation to the joint venture, to provide further details on the following:

(a) Conditions precedent of the JV Agreement.

(b) The equity interest held and/or to be held by SCEE and VN.

(c) The agreed cost and profit-sharing details between SCEE and VN.

(d) Roles and responsibilities of SCEE and VN, respectively with regard to the Development.

(e) VN’s experience on property development and notable project(s) completed by VN.

(f) Whether SCEE has made any payment to VN upon entering into the JV Agreement. If yes, to state the amount paid, payment date and purpose for such payment.

(g) Termination clause of the JV Agreement.


2) In relation to the Development Land, to provide further details on the following:

(a) Whether conversion for Land 3 & 4 from “Rubber estate” to “Residential” has been submitted to the relevant authorities. If yes, to also state the date of application, name of relevant authorities and status of the conversion.

(b) To clarify whether the expected commencement and completion date as disclosed in Section 2.3 is in line with the timeline permitted by the relevant authorities, if applicable.

(c) To indicate the gross development cost (GDC) for the Development. In addition, to provide the basis and assumptions made in arriving at such GDC as well as the estimated gross development value of RM663,360,000.


3) Noted that upon full payment of consideration, SCEE shall be entitled to transfer the said Land and/or Lot fully paid to SCEE itself or nominee of SCEE, and SCEE shall be the rightful beneficial owner of the said piece of Land. In this respect, to clarify:

(a) The tentative timeline for the payment of consideration amounting to RM27.29 million to VN.

(b) As this constitutes a transaction falling under Part D, Chapter 10 of the ACE Market Listing Requirements (“LR”), to furnish Bursa Securities with an announcement in compliance with Appendix 10A of the LR.

(c) Whether valuation was conducted pursuant to Rule 10.04 of the LR in arriving at the consideration amounting to RM27.29 million.


4) To clarify whether the proposed development of affordable houses pursuant to the JV Agreement will trigger diversification in operations by SCBUILD pursuant to Rule 10.13 of the LR.


5) Noted that the Company is looking to diversify its businesses by venturing into EV chargers and its related industries and businesses. In this regard, to further elaborate on this venture which should include but not limited to the following:

(a) Rationale for the venture into EV charges and its related industries and businesses.

(b) Expertise and/or experience of the Company on this business venture.

(c) Current business activities of the Company which are related to EV chargers’ business.

(d) Whether the proposed diversification will trigger Rule 10.13 of the LR and the tentative timeline to obtain shareholders’ approval.

(e) Source of fund for this venture.

 

Please furnish Bursa Securities with your reply within one (1) market day from the date hereof.
