Reference is made to the announcements dated 5 May 2026 and 8 May 2026. Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the previous announcements.

The Board of Directors of BPHB wishes to announce that the Company had on 29 May 2026 entered into a supplemental agreement ("Supplemental Agreement") with the Vendors to supplement and further regulate their rights and obligations under the Share Sale and Purchase Agreement dated 4 May 2026 in view that BPHB's legal due diligence, financial due diligence, project due diligence and operational verification exercises in relation to Enforture Sarawak and the identified projects have not fully completed.

The salient terms of the Supplemental Agreement are set out in the file as attached.

Following the execution of the Supplemental Agreement on 29 May 2026, the Proposed Acquisition is completed.

The Supplemental Agreement is available for inspection at the Company's registered office at Lot 153, Section 54, KTLD, Jalan Sungai Padungan, 93100 Kuching, Sarawak, during normal business hours from Monday to Friday (except public holidays) for a period of three (3) months from the date of this announcement.
