CONCRETE ENGINEERING PRODUCTS BERHAD ("CEPCO" OR "COMPANY") 

UNCONDITIONAL MANDATORY TAKE-OVER OFFER BY YTL CEMENT BERHAD ("OFFEROR") THROUGH CIMB INVESTMENT BANK BERHAD TO ACQUIRE ALL THE REMAINING ORDINARY SHARES IN CEPCO NOT ALREADY OWNED BY THE OFFEROR AND PERSONS ACTING IN CONCERT WITH IT ("OFFER SHARE(S)") FOR A CASH CONSIDERATION OF RM2.60 PER OFFER SHARE ("OFFER")

(Unless otherwise defined, capitalised terms used herein shall have the same meanings as those given to them in the offer document relating to the Offer dated 22 April 2026 ("Offer Document")).

 

Reference is made to the Offer Document which sets out the details and the terms and conditions of the Offer, and the Company's announcements dated 4 May 2026 and 8 May 2026 relating to the Offer.

 

The Board of Directors of CEPCO wishes to announce that the Company has received a press notice from CIMB, on behalf of the Offeror, informing that the Offer has closed at 5:00 p.m. (Malaysian time) on Wednesday, 13 May 2026 ("Closing Date").

 

In accordance with Paragraph 13.01 of the Rules, the level of acceptances of the Offer as at 5:00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice.
